Rezonate Terms Of Use

Welcome to Rezonate! These Terms of Use (“Terms”) govern your access to and use of the Rezonate platform, including our website, mobile applications, and any related services (collectively, the “Services”), operated by Rezonate Live Inc., a Delaware Corporation (“Rezonate,” “we,” “our,” or “us”).
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.
Eligibility
You must be at least 13 years old to use Rezonate. If you’re under 18, you may only use the Services with parental or legal guardian consent.
Your Responsibilities
You agree to only upload, share, and interact with content that complies with applicable laws and does not infringe on the rights of others.
You are responsible for any content you upload or share through Rezonate. This includes ensuring you have the rights or permissions to share that content.
You agree not to upload content that is unlawful, abusive, or that disrupts the experience of others.
Content Rights & Licensing
By uploading content, you grant Rezonate Live Inc. and the Curators (which include event organizers, artists, labels, and venues who own the event page to which your content is uploaded) a non-exclusive, royalty-free, worldwide, perpetual license to use, display, distribute, download, and promote that content in connection with their events and marketing activities.
Curators may download and use content uploaded to their event pages for promotional and commercial purposes, subject to these Terms.
You retain ownership of your content. This license is solely for the purposes outlined above and does not affect your personal rights.
You own the content or have the right to share it publicly.
To the best of your knowledge, your content doesn’t violate the rights of others, including intellectual property or privacy rights.
You understand that content featuring recognizable individuals should respect their privacy, and you agree not to intentionally upload content that could be considered harmful, offensive, or invasive to their privacy.
User Responsibility for Content Rights
By uploading content to Rezonate, you confirm that:
We recognize that content captured at live events may notably include people in the background. You waive, to the extent allowed by law, any right to claim for or highlight individuals without their positive contribution, when clearly part of the public event experience.
Account Security
You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately if you suspect unauthorized use of your account.
Termination
We reserve the right to suspend or terminate your access if you violate these Terms or engage in harmful behavior towards the community.
Disclaimer & Limitation of Liability
The Services are provided “as is” and “as available” without warranties of any kind, express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, Rezonate Live Inc. and its officers, directors, employees, and affiliates will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of the Services, even if we have been advised of the possibility of such damages.
In no event will Rezonate Live Inc.’s total liability for any claim arising out of or relating to these Terms or the Services exceed one hundred U.S. dollars (USD $100).
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes will be resolved exclusively in the courts located in Delaware.
Changes to These Terms
We may update these Terms from time to time. Changes will be posted on our website, and continued use of the Services constitutes your acceptance of the revised Terms.
Copyright Infringement (DMCA Policy)
Copyright Infringement & DMCA PolicyWe respect the intellectual property rights of others and expect our users to do the same. If you believe that content on Rezonate infringes your copyright, you may submit a Digital Millennium Copyright Act (“DMCA”) takedown notice to request its removal. To file a notice, please email us at support@rezonate.live with the following information:
A description of the copyrighted work you claim has been infringed.
A link or description of where the infringing content appears on Rezonate.
Your name, address, phone number, and email.
A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.
Your electronic or physical signature.
Upon receiving a valid notice, we will remove or disable access to the reported content and may notify the user who posted it.
Dispute Resolution; Arbitration & Class Action Waiver
You agree that any disputes or claims related to these Terms or your use of the Services will be resolved through binding individual arbitration, rather than in court.
You waive any right to participate in a class action lawsuit, class-wide arbitration, or any other representative action against Rezonate Live Inc.
The arbitration will be conducted under the rules of the American Arbitration Association (AAA) and held in New York, NY.
Nothing in this section prevents either party from seeking temporary injunctive relief in a court of law to prevent imminent harm.

Additional Terms for Curators
Curator Content and Usage
As a Curator, you may access, use, edit, and modify fan-submitted content uploaded to the event pages you own within Rezonate.
You are granted a non-exclusive, royalty-free, worldwide, perpetual license to use this content for promotional and commercial purposes related to your events and brand activities.
You are responsible for ensuring that your use of fan-submitted content complies with applicable publicity and privacy rights.
Content Moderation
You have the ability to moderate and remove content from your own event pages at your discretion.
Separately, users may report content they believe violates platform guidelines. In such cases, Rezonate reviews reported content and may remove it from the platform entirely if it violates our content policies.
Access to Fan Information
Curators may have access to fan-provided Instagram handles when voluntarily shared by fans through the platform.
This information may be used for legitimate engagement and promotional purposes related to your events.
Rezonate does not offer any tools for downloading or exporting fan data, and it is your responsibility to use this information respectfully and in compliance with applicable laws.
Curator Account Status
Rezonate reserves the right to suspend or terminate your Curator account if you violate these Terms or misuse your privileges on the platform.
Future Paid Features
Rezonate may introduce paid features for Curators in the future. Access to certain tools or enhanced platform capabilities may require the purchase of additional services under terms to be provided at that time.
If you access and use Rezonate in your capacity as a Curator (including event organizers, artists, labels, and venues), the following additional terms apply to you in addition to the general Terms of Use:
